Trust – It is a type of NGO. Trust is governed by Trust Act. In trust Minimum Number of member is 3. Trusts are worked for social welfare. Trust are cannot change or terminated without permission of the beneficiary. For trust registration there is no any national law. All trust are established according to affairs of the states where it is registered or registered office is situated.

Society- society is also a type of NGO. Society Registration Act, 1860 is applicable on all societies. Society is member based organization. Basically societies run for charitable purpose.

Section 8 Companies

Section 8 Companies is also a type of NGO, with limited liability and purpose of no profit making. It is generally established for promoting science, art and commerce and other charitable purpose. Section 8 companies are registered under companies act, 2013.

>> Difference between Trust, society and section 8 Company.

  1. Trust are managed by trustees, while society managed by its council or members and a Section 8 Company is managed by its Board of directors. In trust 3 member minimum required, while society required minimum 7 members. In section 8 Companies 2 directors / member is required if it is private or in case of public trust minimum 7 members is required.
  2. Trust governed by Registrar of Trust. Trust deed is registered with it. A society is governed by Society Registration Act or registrar of society. A section 8 company is registered with registrar of companies.

2.1 Trust: A Trust is a legal entity created by the execution of a trust deed by the founder(s), wherein the trustees hold and manage the trust property for the benefit of the beneficiaries. Trust registration is governed by state-specific Trust Acts, and the process may vary slightly from state to state.

2.2 Society: A Society is a membership-based organization formed by a group of individuals coming together for a common charitable, educational, or social purpose. Society registration is governed by the Societies Registration Act, 1860, and involves the formation of a governing body and adoption of a memorandum of association and rules and regulations.

2.3 Section 8 Company (Non-Profit Company): A Section 8 Company, also known as a Section 8 Company under the Companies Act, 2013, is a non-profit organization established for promoting commerce, art, science, sports, education, research, social welfare, religion, charity, protection of the environment, or any other useful object. Section 8 Company registration requires approval from the Ministry of Corporate Affairs (MCA).

Chapter 3: Process of Obtaining NGO Registration

3.1 Preparing for Registration:

3.1.1 Define Mission and Objectives: Clarify the mission, objectives, and activities of the NGO, ensuring alignment with the organization’s vision and social goals.

3.1.2 Choose Legal Structure: Select the appropriate legal structure for the NGO based on factors such as governance, management, and regulatory requirements.

3.2 Trust Registration:

3.4 Section 8 Company Registration:

3.4.2 Memorandum and Articles of Association (MOA & AOA) Drafting: Draft the memorandum and articles of association of the Section 8 Company, incorporating provisions related to non-profit objectives and restrictions on distribution of profits.
